Terms of Service

Welcome to Flip (the "Platform"), a document conversion service operated by Sanex Labs ("Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the Platform, including all features, tools, content, and services offered at flip.sanexlabs.co.in.

By accessing or using Flip, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.

1. Acceptance of Terms

By creating an account, uploading files, or otherwise accessing the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Sanex Labs.

2. Eligibility

You must be at least 13 years of age to use Flip. If you are under 18, you represent that you have your parent or guardian's consent to use the Platform. By using the Platform, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

Certain features require you to sign in with a Google account. By signing in, you authorise us to access your basic profile information (name, email, profile picture) solely to create and manage your Flip account. You are responsible for maintaining the security of your account and are liable for all activities conducted under your account.

4. Guest and Anonymous Usage

Flip allows a limited number of file conversions without creating an account ("Guest Usage"). Guest usage is tracked via anonymous identifiers (cookies and IP hashing). Guest conversions are subject to daily limits as set by the Platform and may be modified at any time without prior notice.

5. Service Description

Flip provides online document conversion, compression, merging, splitting, rotation, protection, and unlocking tools. We support file formats including but not limited to PDF, DOCX, DOC, PPTX, XLSX, JPG, and PNG. We reserve the right to add, modify, or discontinue any tool or feature at any time.

6. Free Tier and Usage Limits

Registered users receive up to 10 free conversions per day. Guest users receive up to 5 free conversions per day. These limits reset daily and are determined by our systems. We reserve the right to modify these quotas at any time. Unused conversions do not carry over to subsequent days.

7. Subscription Plans and Paid Services

We may offer premium subscription plans ("Pro Plans") that provide additional features such as higher conversion limits, batch processing, and priority support. Subscription terms, pricing, and features will be clearly displayed before purchase. All subscriptions are subject to the Refund Policy.

8. Payments and Billing

All payments are processed through Razorpay, a third-party payment gateway. By making a purchase, you agree to Razorpay's terms of service. Prices are displayed in Indian Rupees (INR) and include applicable taxes unless stated otherwise. We reserve the right to change pricing with reasonable prior notice.

9. Rewards Programme

Flip may offer a promotional rewards programme ("Flip Rewards") where registered users may receive surprise cash rewards of ₹10, ₹20, ₹50, or ₹100. Rewards are occasional, promotional, random, and not guaranteed. Sanex Labs reserves the right to modify, suspend, or terminate the rewards programme at any time without prior notice. Rewards have no cash value until credited to your wallet and withdrawn.

10. Wallet and Withdrawals

Reward amounts are credited to your in-platform wallet. Withdrawals are subject to a minimum threshold and identity verification requirements. We reserve the right to withhold or reverse wallet credits if fraud or abuse is detected. Processing times for withdrawals may vary based on your bank or UPI provider.

11. Acceptable Use

You agree not to use Flip to:

• Upload, transmit, or process any content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
• Upload files containing malware, viruses, trojans, or any other malicious code.
• Attempt to circumvent usage limits, quotas, or security measures through automated scripts, bots, or multiple accounts.
• Interfere with or disrupt the Platform's infrastructure, servers, or networks.
• Use the Platform for competitive analysis, reverse engineering, or data scraping.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Violate any applicable local, national, or international law or regulation.

12. File Upload and Processing

By uploading files to Flip, you represent and warrant that you have the legal right to process those files and that the content does not infringe on any third-party intellectual property rights. Files are processed on our servers and are automatically deleted after processing is complete. We do not retain your files beyond the time necessary to complete the requested operation.

13. File Retention and Deletion

Uploaded and converted files are temporarily stored on our servers for the sole purpose of enabling download. Files are automatically deleted within 1 hour of processing completion. We do not archive, index, or permanently store user files. You are responsible for downloading your converted files promptly.

14. Data Security

We employ industry-standard security measures including HTTPS encryption, secure file handling, and access controls to protect your data during transit and processing. However, no method of electronic transmission or storage is 100% secure, and we cannot guarantee absolute security.

15. Intellectual Property

All content, design, logos, trademarks, software, and technology associated with Flip are the exclusive property of Sanex Labs and are protected by Indian and international intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Platform without express written permission.

16. User Content Ownership

You retain full ownership of all files you upload to Flip. We do not claim any ownership or intellectual property rights over your uploaded content. We access your files solely to perform the requested conversion or processing operation.

17. Third-Party Services

Flip may integrate with third-party services including Google OAuth, Razorpay, and analytics providers. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of any third-party services.

18. Service Availability and Uptime

We strive to maintain the Platform's availability but do not guarantee uninterrupted or error-free operation. The Platform may be temporarily unavailable due to maintenance, updates, or factors beyond our control. We will make reasonable efforts to provide advance notice of scheduled downtime.

19. Limitation of Liability

To the maximum extent permitted by applicable law, Sanex Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, business interruption, or any damages arising from your use of or inability to use the Platform. Our total liability shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

20. Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that conversions will be error-free or that the output will perfectly match the original formatting.

21. Indemnification

You agree to indemnify, defend, and hold harmless Sanex Labs, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with your use of the Platform, violation of these Terms, or infringement of any third-party rights.

22. Account Suspension and Termination

We reserve the right to suspend or terminate your account, without prior notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, or posed a security risk to the Platform or its users. Upon termination, your right to use the Platform ceases immediately, and any pending wallet balance may be forfeited if fraud is confirmed.

23. Anti-Fraud Measures

We employ automated fraud detection systems to monitor for abuse including but not limited to multiple account creation, conversion quota manipulation, reward system gaming, and automated bot usage. Violations may result in permanent account suspension and forfeiture of any accrued rewards or wallet balance.

24. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

25. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

26. Dispute Resolution

In the event of any dispute, you agree to first attempt resolution through informal negotiation by contacting us at our support email. If the dispute cannot be resolved informally within 30 days, either party may pursue formal dispute resolution through the courts as specified in the Governing Law section.

27. Force Majeure

Sanex Labs shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, wars, terrorism, pandemics, government actions, network failures, power outages, or third-party service disruptions.

28. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

29. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Sanex Labs regarding your use of the Platform and supersede all prior agreements, understandings, and communications, whether written or oral.
